Terms of Service

Welcome to PicStashio. These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "your") and Event Photo Share Inc., a Colorado corporation ("PicStashio," "we," "us," or "our"). They govern your access to and use of the PicStashio website at picstash.io and the PicStashio application (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. Please read these Terms carefully before using PicStashio.

1. Eligibility

You must be at least 18 years of age to create an account or purchase a plan on PicStashio. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Guests of any age may upload photos and videos to an event at the invitation of the event creator ("Host"). The Host is responsible for ensuring that guest participation complies with applicable laws.

2. Account Registration

To use certain features of the Service, you may need to create an account. You agree to provide accurate, complete, and current information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@picstash.io if you become aware of any unauthorized use of your account.

3. The Service

PicStashio provides a platform for collecting, storing, and sharing photos and videos from events. Hosts create a "Stash" (an event container) and share a QR code with guests, who can upload photos and videos without downloading an app or creating an account.

Key features of the Service include:

• Creation and management of event Stashes with unlimited Albums
• QR code-based photo and video upload for guests
• Full-resolution photo and video storage and downloads
• Real-time slideshow display
• Automatic content moderation
• Host privacy and gallery controls

4. Plans and Pricing

PicStashio offers both free and paid plans. Each plan provides a specific amount of storage (measured in GB) shared across all Albums within a Stash. Plan details, pricing, and storage allocations are displayed on our pricing page and may be updated from time to time.

4.1 One-Time Purchase

Paid plans are a one-time purchase — there are no recurring subscriptions. Your purchase grants you a Stash with the associated storage and a Stash Period (the period during which your Stash remains active).

4.2 Stash Period

Each plan includes a Stash Period. For free plans, the Stash Period is 90 days. For paid plans, the Stash Period is 2 years from the date of purchase. You may extend your Stash Period at any time by purchasing a Period Extension add-on.

4.3 Tier Upgrades and Add-Ons

You may upgrade from a lower tier to a higher tier at any time. The upgrade cost is the difference between your current tier price and the new tier price. Certain add-ons (such as Overage Fees and Period Extensions) may be available depending on your plan.

4.4 Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect plans that have already been purchased. Any new pricing will apply only to future purchases.

5. Payments and Refunds

5.1 Payment Processing

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's Terms of Service. We do not store your credit card number or full payment details on our servers.

5.2 Refund Policy

We offer a 14-day refund policy from the date of purchase. If you are not satisfied with your purchase, you may request a full refund within 14 days by contacting us at support@picstash.io. Refunds will be issued to the original payment method.

After the 14-day refund window has passed, all purchases are final and non-refundable. Period Extensions and Overage Fees are non-refundable once applied to your Stash.

5.3 Right-Size Guarantee

PicStashio offers a Right-Size Guarantee for paid plans. 30 days after your event date, we check your Stash's storage usage against the storage caps of lower tiers. If your usage fits within a lower tier's storage cap, we will send you an email offering you the option to downgrade to that lower tier and receive a refund of the price difference.

The Right-Size Guarantee is opt-in. You choose whether to downgrade and receive a refund, or keep your current tier if you expect to upload more content during your Stash Period. If you take no action, you remain on your current tier.

The Right-Size Guarantee is subject to the following conditions:

• High-water mark: Eligibility is based on the highest storage usage your Stash reached at any point during the Stash Period — not the usage at the time of evaluation. If your Stash exceeded a lower tier's storage cap at any point (for example, by uploading and then deleting media), you are not eligible for a downgrade to that lower tier.
• Paid tiers only: The free Snack tier is not eligible for the Right-Size Guarantee.
• One-time offer: The downgrade offer is sent once, 30 days after the event date. The offer expires 30 days after it is sent. No repeated offers are made.
• Downgrade adjusts your tier: If you choose to downgrade, your storage cap will be reduced to match the new tier. Your Stash Period is preserved. You will receive a refund of the price difference to your original payment method via Stripe.
• Refund amounts: Refund amounts are based on the difference between the price you paid and the price of the tier you downgrade to.

6. User Content

6.1 Ownership

You retain all ownership rights and copyright in the photos, videos, and other content you upload to the Service ("User Content"). PicStashio does not claim any ownership of your User Content.

6.2 License to PicStashio

By uploading User Content to the Service, you grant PicStashio a limited, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service to you and your event participants. This license exists only for as long as your User Content remains on the Service and terminates when your content is deleted.

We will not use your User Content for marketing, advertising, machine learning training, or any purpose other than providing the Service to you.

6.3 Responsibility for Content

You are solely responsible for your User Content, including its legality, reliability, and appropriateness. By uploading content, you represent and warrant that:

• You own the content or have the necessary rights and permissions to upload it
• Your content does not infringe the intellectual property rights, privacy rights, publicity rights, or other rights of any third party
• Your content does not violate any applicable law or regulation

6.4 Content Moderation

PicStashio uses automated content moderation to detect and filter offensive or inappropriate material. We reserve the right, but have no obligation, to review, remove, or disable access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

7. Acceptable Use

You agree not to use the Service to:

• Upload, share, or distribute content that is unlawful, defamatory, obscene, pornographic, harassing, threatening, hateful, or otherwise objectionable
• Infringe upon the intellectual property, privacy, or other rights of any third party
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Distribute viruses, malware, or any other harmful or destructive code
• Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks
• Use the Service for any commercial purpose not expressly permitted, including reselling access to the Service
• Use automated means (bots, scrapers, crawlers) to access or collect data from the Service without our written permission
• Interfere with or disrupt the Service or the servers and networks connected to the Service
• Use the Service in any manner that could damage, disable, overburden, or impair the Service
• Violate any applicable local, state, national, or international law or regulation

We reserve the right to suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms.

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality — including but not limited to the website design, logos, text, graphics, software, and code — are and will remain the exclusive property of Event Photo Share Inc. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

The PicStashio name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Event Photo Share Inc. You may not use these marks without our prior written permission.

9. Copyright Infringement (DMCA)

We respect the intellectual property rights of others. If you believe that any content on the Service infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our designated agent with the following information in writing:

• A physical or electronic signature of the person authorized to act on behalf of the copyright owner
• A description of the copyrighted work that you claim has been infringed
• Identification of the material on the Service that you claim is infringing, with sufficient detail for us to locate it
• Your contact information (address, phone number, email)
• A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

Upon receipt of a valid DMCA notice, we will take appropriate action, which may include removing or disabling access to the allegedly infringing content.

10. Stash Period and Data Deletion

Your Stash remains active for the duration of your Stash Period (90 days for free plans; 2 years for paid plans, unless extended).

When your Stash Period expires, we will notify you by email and provide a 90-day grace period during which you may download your content or extend your Stash Period. If you do not take action within the grace period, your photos, videos, and event data will be permanently and irreversibly deleted.

You may request deletion of your content and account at any time by contacting us at support@picstash.io. We will process deletion requests within 30 days.

You are responsible for maintaining your own backup copies of any content uploaded to the Service. PicStashio is not responsible for any loss of content after your Stash Period and grace period have expired.

11. Third-Party Services

The Service integrates with and relies on third-party services, including Stripe (payments), Google Cloud Platform (storage), and Vercel (hosting). Your use of these third-party services is subject to their respective terms and privacy policies.

The Service may contain links to third-party websites or services that are not owned or controlled by PicStashio. We are not responsible for the content, privacy policies, or practices of any third-party websites or services.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied.

To the fullest extent permitted by applicable law, PicStashio disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

PicStashio does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, reliability, completeness, or timeliness of any content available through the Service.

You use the Service at your own risk. You are solely responsible for any damage to your device or loss of data that results from your use of the Service.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Event Photo Share Inc., its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of photos or videos, business interruption, or personal injury, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to PicStashio in the 12 months preceding the event giving rise to the claim, or $100 USD, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Event Photo Share Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of any third party, including intellectual property or privacy rights

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@picstash.io and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration

If we cannot resolve a dispute informally, you and PicStashio agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in the State of Colorado or at another mutually agreed location. The arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against PicStashio.

15.4 Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction. Either party may also seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in Colorado.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms or if required by law.

You may terminate your account at any time by contacting us at support@picstash.io. Upon termination, your right to use the Service will cease immediately.

The following sections survive termination: User Content (Section 6), Intellectual Property (Section 8), Disclaimer of Warranties (Section 12), Limitation of Liability (Section 13), Indemnification (Section 14), Dispute Resolution (Section 15), and Governing Law (Section 16).

18. For European Union Users

If you are a consumer in the European Union, you will benefit from any mandatory provisions of the law of the country in which you reside. Nothing in these Terms affects your rights as a consumer under applicable EU law, including mandatory consumer protection regulations that cannot be waived by contract.

19. Severability

If any provision of these Terms is held to be invalid, unenforceable, or illegal, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

20. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by PicStashio to be effective.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PicStashio regarding your use of the Service and supersede all prior and contemporaneous agreements, understandings, and communications, whether written or oral.

22. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and, where required by law, notify you by email or through the Service. Material changes will take effect no sooner than 30 days after notice is provided.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, please stop using the Service.
